How to read a Form 4 without getting fooled
What does transaction code P mean on an SEC Form 4?
Code P is an open-market or private purchase — the insider paid their own money for the shares at the stated price. It is the only code that unambiguously means buying. Code A is a grant or award (free stock), M is an option exercise, S is a sale, and G is a gift. This tape shows code P acquisitions only, which is why it is far shorter than the raw Form 4 stream.
How fast do insider buys become public?
An insider has two business days from the transaction date to file. Across the 25 open-market purchases on this page the median gap between trade date and the filing hitting EDGAR was 55 hours. The filing itself is public the second EDGAR accepts it — the delay you experience after that is whatever your news feed adds.
What is a cluster buy and why do traders watch them?
A cluster buy is two or more different insiders at the same company buying in the same window. One CEO purchase can be routine or cosmetic; several officers and directors buying independently is harder to explain away, which is why cluster buys draw more attention than single purchases.
